Code of Conduct
The Intesa Sanpaolo Group’s Internal Code of Conduct, adopted by Intesa Sanpaolo Protezione S.p.A., refers to the values and principles expressed in the Code of Ethics and constitutes a unified regulatory framework that defines the rules of conduct for Management Board Members, the employees and the external collaborators. Within the scope of their roles, these individuals are required carry out their activities with professionalism, diligence, honesty, and fairness, both in and outside the workplace. They must pursue the interests of the Company and the Group, its customers, and its shareholders, and acting with transparency and with full respect for the dignity and integrity of each person.
Code of Ethics of the Intesa Sanpaolo Assicurazioni Group and Intesa Sanpaolo Protezione
The Code of Ethics of the Intesa Sanpaolo Assicurazioni Group, and that of Intesa Sanpaolo Protezione S.p.A., have been drawn up in line with the provisions of IVASS Regulation No. 38 of 3 July 2018. The Group and the Company adopt a Code of Ethics in order to formalise and communicate their principles, values and commitments, which reflect the corporate culture in all decision and actions, as well as to express a strong commitment to Environmental, Social and Governance (ESG) issues. The Code, in fact, recognises the fundamental importance of sustainability principles in guiding the corporate strategy and ensuring a positive impact on the future of the planet and society. The Code is addressed to the corporate management and control bodies, to the Group’s people and to any third parties involved in contractual relations, including on an occasional or temporary basis, who act, operate or collaborate with the Group or the Company in any capacity.
Organisation, Management, and Control Model pursuant to Legislative Decree 231/2001
The Organisation, Management and Control Model aims to introduce and enforce within the Company the principles and rules of conduct relevant for the reasonable prevention of the crimes indicated in Legislative Decree No. 231 of 8 June 2001. This Model has been approved by the Company's Board of Directors.
The Decree, containing the "Regulations on the administrative liability of legal entities, companies, and associations, including those without legal personality," introduced into the Italian legal system a regime of administrative liability for entities (defined as companies, associations, consortia, etc.) for exhaustively listed crimes committed in their interest or to their advantage. The liability of the Entity is in addition to that of the natural person who materially committed the crime, and is independent of it.
The Intesa Sanpaolo Assicurazioni Group's Anti-Corruption Policy
The Intesa Sanpaolo Assicurazioni Group's Anti-Corruption Policy, approved by the Company's Board of Directors, identifies general principles, identifies sensitive areas, and defines roles and responsibilities, as well as macro-processes, for managing the risk of non-compliance related to any type of corruption. The aim is to further strengthen the principles and guidelines contained in the Code of Ethics, the ISP Group Code of Conduct, and the Organisation, Management, and Control Model pursuant to Legislative Decree 231/2001.
